1. Acceptance of terms

These Terms of Service ("Terms") form a binding agreement between you and Xpan Global LLC ("Xpan", "we", "us"). By creating an account, accessing our websites, or using any Xpan product or service (collectively, the "Services"), you agree to these Terms. If you do not agree, you must not use the Services.

If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and references to "you" include that organization.

2. Eligibility & accounts

To use the Services you must be at least 18 years old and capable of forming a binding contract. You agree to provide accurate, current, and complete information during registration and to keep it up to date.

We are required to verify your identity. As part of our Know Your Customer (KYC) and Anti-Money Laundering (AML) obligations, you authorize us to collect, verify, and retain information about you and, where applicable, your business and beneficial owners.

• You are responsible for safeguarding your credentials and any keys used for self-custody.
• You must promptly notify us of any unauthorized access to or use of your account.
• You may not transfer your account to another person without our written consent.

3. Use of the Services

Xpan provides access to fiat and crypto banking features, including accounts, cards, transfers, yield products, and developer APIs. Specific features may be subject to additional terms, eligibility requirements, and jurisdictional availability.

You agree not to misuse the Services. Prohibited activity includes:

• Using the Services for unlawful, fraudulent, or deceptive purposes.
• Circumventing security, rate limits, or access controls.
• Engaging in money laundering, terrorist financing, or sanctions evasion.
• Interfering with or disrupting the integrity or performance of the Services.

4. Fees & billing

Certain Services are offered on a subscription or usage basis. Applicable fees, spreads, and limits are described on our pricing page or in-product at the time of purchase. Subscription fees are billed in advance and are non-refundable except where required by law.

You authorize us and our payment processors to charge your selected payment method for all amounts due. Taxes may apply and are your responsibility.

5. Crypto & financial risk

Digital assets are volatile and may lose value. Self-custody features place sole responsibility for private keys with you; lost keys may result in permanent loss of funds. Xpan does not provide investment, tax, or legal advice. You are solely responsible for evaluating the risks of any transaction.

6. Suspension & termination

We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms, created risk or legal exposure, or where required by law or a regulator. You may close your account at any time, subject to settlement of outstanding obligations.

7. Disclaimers & limitation of liability

The Services are provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law. To the fullest extent permitted by law, Xpan will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data.

8. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Services or by other reasonable means. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
